En el siguiente documento al “Usuario” (como aquella persona que compre productos disponibles en la página web) y al “Vendedor” (The Competitive Intelligence Unit S.C. (CIU)). Donde ambos, tanto el “Usuario” como el “Vendedor”, declaran transmitir mutuamente cierta información confidencial, propiedad de cada una de ellas, relacionada con información escrita, oral, gráfica, visual o tangible por cualquiera de los sentidos del ser humano, o contenida en medios escritos, electrónicos o electromagnéticos, la que incluye de manera enunciativa más no limitativa, información técnica, financiera y comercial relativa a nombres de clientes o socios potenciales, propuestas de negocios, reportes, planes, proyecciones de mercado, datos, ideas, conceptos, estudios, resúmenes, equipos, programas, estadística, folletos, procesos, procedimientos, políticas, sistemas, regulación, normas, logística y cualquier otra información industrial o de cualquier otra índole, junto con fórmulas, mecanismos, patrones, métodos, técnicas, procesos de análisis, documentos de trabajo, compilaciones, comparaciones, estudios u otros documentos que en lo sucesivo se le denominará “Información Confidencial”. El Usuario acepta el acuerdo legal con el Vendedor para el uso de la "Información Confidencial" disponible en el “Documento” (producto a la venta en la página web) realizado por The CIU.

By accessing and buying any document at the CIU website and/or using any CIU content, you (hereinafter referred to as “You” or the “User”) acknowledge that You have fully read and understood, and agree to be bound by, these Store Terms and Conditions. El Usuario se obliga a mantener de manera confidencial la información que reciba del Vendedor, ya sea que dicha información haya sido entregada de manera oral, visual, escrita, grabada en medios magnéticos o en cualquier otra forma y a no divulgarla a una tercera parte diferente de sus abogados que tengan la necesidad de conocer dicha información para los propósitos autorizados en este convenio, y quienes deberán estar de acuerdo en mantener de manera confidencial dicha información.

Al comprar el “Documento” y adquirir la "Información Confidencial", el "Usuario" acepta estar sujeto a los términos de este acuerdo y acepta tal y como se indican los términos en el Aviso de Privacidad. La aceptación por parte del Vendedor del pedido del Usuario se condiciona expresamente al acuerdo y aceptación por parte del Usuario mediante los términos y condiciones, junto con cualquiera de los términos especiales estipulados por el "Vendedor" en la carátula del "Documento" mismo, constituyendo la suma un acuerdo final y completo entre las partes. Los términos y condiciones de The CIU aquí incluidos, regirán y prevalecerán sin importar que la orden de compra del Usuario antecediere o sucedieren al presente documento.

The User will not disclose any information to a third party other than its lawyers, whom might need to know such information for a specific authorized purposes, and who must agree to keep such information confidential.

La información contenida en el “Documento” está protegida por leyes de derechos de autor y tratados internacionales, así como por otras leyes y tratados de propiedad intelectual. Los datos contenidos en el "Documento" no pueden almacenarse en ningún otro sitio que no sea su computadora individual. Este documento no se puede compartir o utilizar simultáneamente en diferentes equipos (PC, servidores, intranets, etc.). By purchasing the "Document" and acquiring the "Confidential Information", the "User" agrees to be bound by the terms of this agreement and accepts as indicated the terms in the Privacy Notice. Seller's acceptance of the User's order is expressly conditional on the agreement and acceptance by the User of the terms and conditions, together with any of the special terms stipulated by the "Seller" on the "Document" itself, constituting together a final and complete agreement between the parties. The terms and conditions of The CIU herein included, shall govern and prevail regardless of whether the User's purchase order predates other documents. The information contained in the "Document" is protected by copyright laws and international treaties, as well as by other intellectual property laws and treaties. The data contained in the "Document" cannot be stored anywhere other than your own computer. Bajo las leyes de derechos de autor puede instalar y utilizar una copia de los datos de investigación en un solo ordenador. La información puede ser utilizada para el uso exclusivo del "Usuario" individual. Bajo ninguna circunstancia se deben copiar nuestra información de investigación y análisis contenido en los documentos, tampoco está permitido que partes de la información sean retomadas en otros informes, sin nuestro permiso previo y por escrito.

Under copyright laws you may install and use a copy of the research data on a single computer. The information may be used for the exclusive use of the individual User. You should treat the electronic version of our research data as any other copyrighted material. The commercialization of the information is not accepted. Under no circumstance should our research and analysis information be copied from the Documents, nor the use of parts of the information to be used in other reports without our prior written permission.

Sin perjuicio de cualquier otro derecho, el "Usuario" se obliga a tomar las precauciones necesarias y apropiadas para mantener como confidencial la “Información Confidencial” propiedad de la otra parte, incluyendo, más no limitando, el informar que la información es confidencial y que no deberá ser divulgada a terceras partes. En caso de que la información confidencial sea divulgada indebidamente por el "Usuario" y por lo mismo no sean respetados los términos establecidos en este convenio, el "Vendedor" tendrá derecho a que se indemnice por los daños y perjuicios que le ocasione o le haya ocasionado la indiscreción de su contraparte, misma que no cumplió el presente convenio.

Without bias to any other right, the "User" agrees to take the necessary and appropriate precautions to keep confidential the "Confidential Information" owned by the other party, including, but not limited to, notifying that the information is confidential and should not be disclosed to third parties. En caso de proceso judicial en relación con cualquier asunto materia del presente "Contrato", las partes celebrantes acuerdan de manera irrevocable que dicho asunto sea juzgado o decidido por los tribunales competentes de la Ciudad de México, México. Asímismo, las partes celebrantes acuerdan irrevocablemente someterse de manera general e incondicional a la Jurisdicción de cualquiera de dichos tribunales en relación con dichos asuntos y renuncian expresamente a cualquier otra jurisdicción a la que tengan derecho en virtud de sus domicilios presentes o futuros o por cualquier otro motivo. La invalidez, ilegalidad o falta de coercibilidad de una o más de las disposiciones del presente "Contrato" de ninguna manera afectará la validez y coercibilidad de las demás estipulaciones del presente Contrato. En cualquier demanda, acción o procedimiento entre las partes relacionando con el presente contrato, The CIU tendrá derecho al reembolso de todos los honorarios, gastos y costes legales.

In the event of a judicial proceeding in relation to any matter subject to this "Agreement", the parties hereto irrevocably agree that each case will be trialed or decided by the competent courts of Mexico City, Mexico. In addition, the parties of the agreement irrevocably agree to yield, in a general and absolute manner, to the jurisdiction of any court in relation to such matters and expressly waive any other jurisdiction to which they are entitled by virtue of their present or future domicile or by any other reason. The invalidity, illegality or lack of coerciveness of one or more provisions of this Agreement shall in no way affect the validity and enforceability of other clause of this "Agreement". In any claim, action or procedure between the parties relating to this agreement, The CIU shall be entitled to a reimbursement of all legal fees, expenses and costs.

Enteradas las partes del contenido del presente “Términos y Condiciones”, lo aceptan ambas partes el Usuario como el Vendedor, al momento de la compra del Documento.
